Article I

Section 1

The name of this organization shall be Silver Stripes.

Section 2

The home office of the organization shall be that of its principal officer or as may be designated from time to time by the Executive Board.

 

 

 

Article II
Objective

Section 1

The purpose of the Silver Stripes is to maintain and continue the close friendships and associations of the members, and to promote their general welfare.

 

 

 

Article III
Membership and Dues

Section 1

Regular membership shall be limited to active and retired American Airlines pilots, flight engineers, and operations personnel over the age of fifty-five ( as amended May 11, 1993.)

Section 2

The membership shall be assessed dues of $10.00 per year effective December 1, 1998 (as amended November 10, 1998).

 

 

 

 

Article IV
Officers

Section 1

The officers of this organization shall be a President, a Vice-President, a 2nd Vice-President, a Secretary, and a Treasurer. These officers shall constitute the Executive Board.

Section 2

The Executive Board shall have the power to transact the general business of the organization, and shall arrange and control its current affairs. The Executive Board shall incur no indebtedness beyond its existing funds.

Section 3

The President shall exercise supervision over all the affairs of the organization; call all meetings of the Executive Board, or Board of Directors; and preside over such meetings. He shall be the presiding officer at all meetings.

Section 4

The Vice-President shall execute such duties as assigned to them by the President.

Section 5

The duties of the Secretary are: 1) to keep a current roster of members and their addresses, 2) to disseminate this information to the membership as directed by the Executive Board, 3) to provide the Treasurer with current membership information, 4) to record and make available to the officers, the minutes of the Executive Board, Board of Directors, and regular monthly meetings, 5) the Secretary is designated as the alternate signatory of the organization’s checking account, and 6) to execute such other duties as may be assigned his office by the President.

Section 6

The duties of the Treasurer are: 1) to handle the organization’s financial affairs, 2) to submit a current statement of account to the November meeting, and 3) to carry out such other duties as may be assigned to his office by the President.

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

Article V
Directors

Section 1

The organization shall have Board of Directors consisting of three members, each being a past President. Each shall serve for three years following the year they are President.

Section 2

The function of the members of the Board of Directors is to advise the Executive Board on the matters of policy, and to provide aid and assistance in pursuance of the organization’s affairs.

 

 

 

 

 

Article VI
Nominations and Elections

Section 1

Candidates for office shall be nominated and elected as provided in this Article, and take office on January 1 of the following year.

Section 2

The Nominating Committee shall consist of five members: the three past Presidents available and two members at large appointed by the incoming President. The immediate past President shall be Chairman of this committee. The work of this committee shall continue until the next November business meeting. Nominations for officers shall be “presented” to the membership at the October meeting and voted on at the November meeting. Nominations for any office shall not be considered without the consent of the nominee. Additional nominations may be made by any member present at the November meeting.

Section 3

Election shall be by ballot or by hand, and shall be the first piece of business at the November meeting. A majority vote of those present and voting shall rule.

Section 4

The offices of President, Vice-President, 2nd Vice-President, Secretary and Treasurer shall be occupied only by retired members.

Section 5

The offices of President and Vice-President for the following year shall be in order of succession as follows: The Vice-President of the current year shall automatically move up to the office of President. The 2nd Vice-President of the current year shall automatically move up to the office of Vice-President.

Section 6

The offices of 2nd Vice-President, Secretary, and Treasurer shall be filled by nominations at the October meeting and election at the November meeting.

Section 7

Officers will hold office until replaced by newly elected officers, or unless re-elected at the November meeting.

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

Article VII
Filling Vacancies

Section 1

Should the President be unable to serve during his term of office, the Vice-President shall take over as acting President and become President the following year.

Section 2

Should the Vice-President be unable to serve during his term of office, the 2nd Vice-President shall take over as acting Vice-President and become Vice-President the following year.

Section 3

Should the office of 2nd Vice-President, Secretary, or Treasurer become vacant, the remainder of that term of office shall be filled by vote of the Board of Directors and the Executive Board.

 

 

 

 

 

 

 

Article VIII
Amendments

Section 1

These by-laws may be amended by presenting the amendment to the membership at the October meeting. The proposed amendment shall be voted on at the November meeting. The majority vote of those present and voting shall rule.
